In general, rollover clauses are enforceable unless there is a provision in the country whose law governs the agreement prohibiting these clauses (continental legal system), or there is a jurisdiction in such a country that refuses to apply them (common law system), and it is not at all surprising that their applicability may depend on the jurisdiction and subject matter of the contract itself. A form of term that governs the continuation of contractual termination The good news is that a small business can have a remedy under the unfair contract term provisions of the Australian Consumer Code if the following conditions are met: Therefore, the applicability of the rollover conditions is subject to notice, at least for consumer contracts. to prevent possible misuse of service providers. More specifically, in accordance with the provisions of Article 10, letter (i) of Government Decree No. 21/1992 on consumer protection, the consumer has the right to be informed «30 days before the date on which the contract is automatically renewed for a fixed or indefinite period, so that the consumer can make a written option regarding the renewal of the contract». Given the situation, we are witnessing a relativization of one of the most fundamental but important elements of a treaty, namely its duration. In addition, a brief discussion of this contractual element is essential, especially in the introductory part of this article. Thus, the term «duration» of a contract indicates how long a contract remains enforceable. Admittedly, the terms of the contract vary considerably and may be dictated by applicable law. Sometimes the parties sign the agreement, put the contract in a drawer and enter into the respective contractual relationship, ignoring the consequences of the clause (until a few years later, when a party tries to end the relationship even if neither party has violated the agreement). Going further in this example and taking into account that the initiation and continuation of a contractual relationship in the form of a provision of services involves at least two parties (i.e. two declarations of intent), which, by its very nature, does not imply the automatic renewal of a contract for the provision of a particular service at the time of the expiry of the predetermined duration of the contract (more specifically in In the absence of the express consent of the other Contracting Party).
Pursuant to 15 U.S.S. § 3301 [Title 15. Chapter 60. «gas policy»: «rollover contract» means «any contract entered into on or after the date of entry into force of this Act [which came into force on 9 November 1978] for the first sale of natural gas that was previously the subject of an existing contract that expired on the expiry of a specified term (without an extension thereof taking effect from that date of entry into force); as defined by the provisions of this existing Treaty; given that such a contract was in force at the time of the coming into force of this Act [entered into force on 9 November 1978], whether or not there is an identity of the parties or conditions with those of such an existing contract. A rollover clause is an automatic renewal provision that, if included in a contract, allows the contract to be extended beyond the originally agreed termination date. Instead of terminating the initial contractual relationship, the effects of the initial contract are extended under the same conditions. Such a clause can be a key term in various contracts, but it is particularly common in service, distribution and supply contracts, as well as in health agreements. In a more empirical approach, rollover clauses can be found in consumer and commercial contracts, including residential leases, advertising contracts, gym memberships, and many other service-based agreements. The question is whether such clauses are enforceable, as they have the effect of automatically binding a party to an agreement beyond the initial term of the contract. In some jurisdictions, the legislator has considered it appropriate to prevent companies from relying on such clauses, unless the service provider so indicates. In this context, it is important to note that companies should be cautious when entering into contracts containing automatic renewal terms, as an unfair termination of the contract for an extended period could give rise to a claim for damages for breach of contract.
A scenario that could be applicable shows the situation in which one party tells the other party that it immediately terminates the relationship, but the latter refers the former to the term clause of the contract and reminds the former that the term is still in progress due to the inclusion of a rollover clause. Although the legal contours of the conclusion and execution of the contract no longer suffer from fundamental uncertainties, we often go into uncharted territory when we closely analyze the mechanisms for terminating the contract and the post-contractual clause. The termination of a contract can no longer be considered solely as the conclusion of the contract on an agreed date. A study of legal practice shows that the time limits for treaties, particularly international treaties, are often imprecise and that «[…] The contractual relationship, which has been maintained and strengthened over the years, rarely ends in a day»1. We strongly recommend that all contracts containing such conditions be reviewed and that appropriate action be taken accordingly. If the term is buried in the fine print of the document, it is more likely to be unfair, and if a clause in a small business contract is deemed unfair, then the term is void, that is, unenforceable. Under Romanian law, the widest possible applicability of rollover clauses is found in contracts for the provision of services. It is not uncommon for service providers (e.g. Internet, television or telephony service providers) to include an automatic renewal clause in the form of a so-called renewal clause in contracts with their customers, which can however only be considered legal if a condition expressly provided for by the applicable Romanian legislation is met.
